These Terms and Conditions govern access to and use of Comparzeo, a service provided by SAS Optimizeo (SAS au capital de 1 000 €), RCS Lyon 915 102 461. They apply, to the exclusion of any other terms, to all subscriptions made through comparzeo.com.
The service is intended exclusively for business users acting in the course of their commercial activities (retailers, online retailers and companies). By subscribing, customers confirm that they act in this capacity; the provisions of the French Consumer Code governing consumer contracts therefore do not apply.
Creating an account and/or subscribing to a paid plan constitutes full acceptance of these Terms. SAS Optimizeo reserves the right to amend them at any time; the applicable version is the one in force at the time of subscription or renewal.
Comparzeo is a price monitoring service that automatically collects public commercial information (prices and availability) from publicly accessible pages selected by the customer (product pages on competitors' websites) and makes it available through dashboards and alerts.
Customers are solely responsible for selecting the websites monitored through Comparzeo and warrant that they have the right to do so, in accordance with those third-party websites' terms of use and applicable regulations. SAS Optimizeo does not guarantee the availability, accuracy or continuity of collected data, which depends on third-party websites outside its control (changes to site structure, technical blocks or temporary outages).
All new customers are offered a 14-day free trial, with no credit card required at registration. At the end of the trial, access is suspended until a payment method is added and a paid subscription is taken out. No data is lost during the suspension period.
The service offers several plans (Starter, Pro and Business), with details and current prices displayed on the Pricing page of the website. Prices exclude VAT; VAT at the applicable rate (20% at the date of these Terms) is added when invoicing. A discounted rate is available with annual billing, selected by the customer when subscribing. For volumes or features outside these plans, customers may contact us to arrange a specific commercial agreement.
Payment is made by card through our provider Stripe, with recurring charges (monthly or annually, depending on the chosen billing period). SAS Optimizeo does not store card details. If payment fails, access may be suspended until payment is resolved.
The subscription has no minimum commitment period and renews automatically for the same period (monthly or annual) unless cancelled by the customer, which can be done at any time from their account. Cancellation takes effect at the end of the paid period; no pro-rata refund is provided for the current period unless expressly stated otherwise at subscription.
Customers agree to:
SAS Optimizeo takes reasonable steps to ensure the availability and proper operation of the service, without guaranteeing continuous availability (the service may be interrupted for maintenance, updates or force majeure). To the extent permitted by law, SAS Optimizeo's liability under these Terms is limited to the total amount paid by the customer in the twelve (12) months preceding the event giving rise to the damage, excluding any indirect loss (revenue, customers, reputation or data) and any commercial decision made solely on the basis of information provided by the service, whose accuracy cannot be guaranteed given its third-party origin.
Customers retain full ownership of the data they enter (product listings and prices). SAS Optimizeo retains all intellectual property rights in the software, interface and Comparzeo brand. No licence is granted other than the right to use the service for the duration of the subscription.
The processing of personal data in connection with the service is described in the Privacy Policy.
Neither party shall be liable for failure to fulfil its obligations resulting from a force majeure event within the meaning of Article 1218 of the French Civil Code and French case law.
These Terms are governed by French law. In the event of a dispute, the parties will seek an amicable resolution before taking legal action. If no agreement is reached, the courts with jurisdiction over SAS Optimizeo's registered office shall have exclusive jurisdiction, unless mandatory law provides otherwise.
